Terms and Conditions

  • Customer authorizes VITALink to make inquiries into Customer’s credit, banking, business and/or trade history as  VITALink deems appropriate. 
  • If no term is selected above term will default to 36-month term. Except for MTM, term will auto-renew for additional 12  months upon term expiration unless provided a 60 day written notification prior to the term expiration by either party. 
  • Pricing is generally valid for 30 calendar days from the date indicated unless a different time period is otherwise  specified herein. The pricing stated herein is contingent upon service availability (as determined by VITALink). Prior to  installation VITALink may give written notice to Customer (which may be via e-mail) of price increases due to price  changes by non- VITALink affiliates, carriers, contractors or suppliers required to provide the Service. Customer has 2  business days following such notice to terminate this Customer Order (without liability) otherwise Customer is deemed  to accept the increase. Services may be provided by VITALink or its affiliates. 
  • Pricing is based upon a continuous monthly term. $35 reconnect fee for disconnect(s) or Seasonal service holds. 
  • Sharing or reselling of services is not permitted. 
  • Max speeds are wired. Wi-Fi, actual & average speeds vary. 
  • No open or unsecured WiFi permitted. 
  • The demarcation point shall be VITALink’s Minimum Point of Entry at service location and as determined by VITALink.  Additional service fees may apply for adding, extending or moving demarcation for Customer’s convenience.
  • Separate service/installation required per location/address. Customer may not transport service (via cable, wire or  wireless) among other service locations with or without common ownership without prior written permission from  VITALink. 
  • Activation fees, install fees and any other non-recurring charges cover a ‘right to connect’ to the VITALink network, licenses, administration, configuration and provisioning of Services and are non-refundable. These fees are  not for the purchase or transfer of ownership of any hardware or software to Customer unless specified herein.  Customer agrees to pay VITALink invoiced amounts for any hardware and/or software not returned to VITALink upon  termination of this agreement. 
  • VITALink retains rights to all intellectual property and proprietary methods used for transport, delivery and provisioning  of Services. 
  • Customer places the Customer Service Order by signing (including electronic or digital signature) or otherwise  acknowledging (in a manner acceptable to VITALink) this document and returning it to VITALink. The Service identified  in this Customer Order shall be governed by and subject to the Master Service Agreement(s), VITALink Acceptable Use  Policy and Service Schedule(s) (if any) between VITALink and Customer (or its affiliate if expressly provided for under  such Master Service Agreement) applicable to such Service. If Customer has not executed a Master Service Agreement  with VITALink then VITALink’s standard Master Service Agreement/Service Schedule(s) shall govern. VITALink’s  acceptance of this Order will be evidenced by (and this Order will be binding on both parties upon) the earlier of  VITALink’s written delivery of a Customer Committed Delivery Date (i.e. the projected installation date) or VITALink’s  actual delivery of the requested Service (Service Commencement Date). 
  • All transport services ordered from VITALink will be treated as interstate for regulatory purposes. Customer may certify  transport services are located in the same state and neither end point is a VITALink provided IP port (“Intrastate  Services”). Where Customer requests that services be designated as Intrastate Services, Customer certifies to VITALink that not more than 10% of Customer’s traffic utilizing the Intrastate Services will be originated or terminated outside of  the state in which the Intrastate Services are provided. Such election will apply prospectively only, and will apply to all  Intrastate Services stated in this Customer Order. 
  • Charges for certain Services may be subject to (a) a property tax surcharge of 4.25% and (b) a cost recovery fee of 3%  per month to reimburse VITALink for various governmental taxes and surcharges. Such charges are subject to change  by VITALink and shall be applied regardless of whether Customer has delivered a valid tax exemption certificate. 
  • An Extended Aerial Pole Lease Recovery Fee may be charged per pole per month when the Service Location is greater  than 2 utility poles away from VITALink’s main trunk line.
  • Customer will pay VITALink’s standard: (i) expedite charges (added to the NRC) if Customer requests a delivery date  inside of VITALink’s standard interval duration and (ii) ancillary charges for additional activities, features or options as  set forth in VITALink’s ancillary charge summary. If VITALink cannot complete installation due to Customer delay or  inaction, VITALink may begin charging for the Service and Customer shall pay such charges which will appear on  Customer’s first invoice following the Service Commencement Date. 
  • Service outages should be reported 24/7 via telephone to 724-329-1516 or email support@vitalink.us. 
  • Customer understands that the circuits do not include firewall, filtering or DDOS protection. Customer should take  appropriate steps to protect their network.
